Aspiro announces new share issue

Aspiro announces new share issue Aspiro's Board of Directors has decided to carry out a new share issue totaling a maximum of 3.887.327 shares. The decision has been made with the authorization of the annual general meeting of stockholders held May 18, 2000, The issue price has been fixed at SEK 20 per share and the entire new issue will contribute approximately SEK 77.7 million to Aspiro before expenses. The liquidity from the new share issue will be used for the company's continuing expansion. The new shares carry preferential rights and will be offered to Aspiro's stockholders who will be entitled to subscribe for one (1) new share for ten (10) existing old shares. The prospectus will be distributed to stockholders sometime around August 4. The subscription will take place from August 7 to August 25, 2000. The subscription rights will be traded on the OM Stockholm Stock Exchange's New Market list from August 7 until August 22, 2000. The record day at the Securities Register Centre for all stockholders with rights to subscribe for new shares will be July 21, 2000. The last day of trading in Aspiro stock inclusive of subscription rights is July 18, 2000. The Board of Directors' full decision regarding the new issue is available at the company's head office in Malmö. Major stockholders in Aspiro have agreed to subscribe for shares in the new issue equal to approximately SEK 22.4 million. In addition, the main owners together with a consortium under the guidance of stockbroking firm Hagströmer & Qviberg have pledged guarantees regarding the remaining part of the new share issue, approximately SEK 55.3 million. This means that the entire new share issue is secured.
