Aspiro completes acquisition of Boomi

Today Aspiro announces that it has completed the acquisition of the mobile content services company Boomi. In connection to the completion of the acquisition, the Board has today decided to issue 2,965,995 shares to WapOneline Oy. Based on today’s opening price of SEK 4.83 per share, these new shares correspond to a value of SEK 14.3 m.

20 September Aspiro announced that it had reached an agreement with WapOneline Oy to acquire its subsidiaries Boomi International Ltd and WapOneline Norway AS (Boomi). The purchase price comprised of SEK 37.9 m in cash and 2,965,995 new Aspiro shares. In connection to the completion of the acquisition, the Board has today decided to issue 2,965,995 shares to WapOneline Oy. The decision was based on a new issue pursuant to a prior authorization from the AGM. Based on a subscription price of SEK 4.83, which correspond to today’s opening price, these new shares correspond to a value of SEK 14.3 m. Accordingly, the final purchase price is 52.2 m. The new shares are equivalent to a holding of 1.56% of Aspiro. After the completed share issue, the total number of shares in Aspiro will amount to 189,538,115.
