Aspiro completes the acquisition of Cellus

Today Aspiro announces that it has completed the acquisition of Cellus. The purchase price amounts to SEK 125.8 million and consists of a cash consideration of SEK 61.3 million and SEK 64.5 million constituting 28,675,000 newly issued shares in Aspiro.

The acquisition of Cellus was, among others, conditional upon the new share issue with preferential rights. On July 9, 2004, Aspiro announced that that the share issue of SEK 80.3 million was fully subscribed. Hence, all conditions for the acquisition of Cellus have been completed. Cellus’ shareholders have today received 80 percent of the cash payment. The remaining part will be paid partly by the time of the publication of the Interim Report January-September 2004 (ten percent) and partly by the time when Aspiro’s books of accounts 2004 have been audited (ten percent). After the completed new share issue with preferential rights and the directed share issue to the shareholders in Cellus, the total number of shares in Aspiro will amount to 108,961,958 shares. Cellus’ shareholders will, after the new share issues, own about 26.3 % of all outstanding shares in Aspiro. In connection to the completion of the acquisition, Erik Hansen will become the CEO of Aspiro, as earlier announced.
