Aspiro’s new share issue fully subscribed

The previously announced new share issue, totalling 40,143,479 shares, with preferential rights for shareholders in Aspiro has been fully subscribed. 100 percent of the rights issue subscription amount was secured with guarantees. Shareholders with preferential rights have subscribed for 56.1 percent of the issue, representing SEK 45.0 million. The remaining part of the share issue will be subscribed for by guarantees and subscription commitments.

The new share issue with preferential rights will provide Aspiro with SEK 80.3 million before issue expenses. The number of shares will increase from 40,143,479 to 80,286,958. The new share issue is done in order to finance the cash payment to be paid when acquiring the mobile service provider Cellus and also to cover transaction- and issue expenses. The acquisition of Cellus is to be completed within short. When finalizing the acquisition, a directed share issue of 28,675,000 shares will be carried through directed at the shareholders in Cellus. After the completed new share issue with preferential rights and the directed share issue to the shareholders in Cellus, the number of shares in Aspiro will increase with 68,818,479 shares, from 40,143,479 to 108,961,958 shares. Cellus’ shareholders will, after the new share issues, own about 26.3 % of all outstanding shares in Aspiro.
