Changes to Aspiro's board of directors Aspiro's board of directors is to be enlarged at the company's next annual general meeting with the addition of Claes de Neergaard and, as previously announced, Lars Jarnryd. At the same time, Klas Hallqvist will step down from the board. At Aspiro's next annual general meeting on May 9 2001, a proposal will be put forward to reelect existing board members Tomas Althén, Stig M Herbern, Lars H Bruzelius and Sven-Åke Bergkvist. The annual general meeting will also propose the new election of Lars Jarnryd and Claes de Neergaard. Klas Hallqvist, one of Aspiro's founders, has announced he will step down from the board. Claes de Neergaard, 51, is currently a member of the board of companies in the finance sector and an advisor to, among others, the Swedish Ministry for Foreign Affairs and the Nordic Investment Bank. He possesses a long working experience gained from a number of international engagements and for the past ten years has held leading positions at both the EIB (European Investment Bank) and EBRD (European Bank for Reconstruction and Development). Lars Jarnryd, 61, has held various positions at Ericsson over a 17-year period including appointments in France and the USA. While stationed in France, Jarnryd helped transform Ericsson into one of the country's major mobile telecom suppliers in only a few years. He has previously worked for SKF and Electrolux in different parts of the world. Today, he is an active board member in five international telecommunication companies. At the time of their election to the board, Lars Jarnryd and Claes de Neergaard will each be allocated 75,000 option rights in the option program series 2001/2003. Each option right gives the holder the right to subscribe for one share in Aspiro AB at a price of SEK 26.90 during the period Jan 1 2003 - Dec 31 2003. The option rights will be transferred at a fair market price in accordance with the accepted Black & Scholes option pricing model.
