ATRIA HAS SIGNED A CONTRACT FOR ACQUIRING ESTONIAN AS VALGA LIHATÖÖSTUS

Atria Group plc, the largest producer of meat products in the Baltic Area,
proceeds with its Baltic plan and has today signed a contract for acquiring the
entire share capital of AS Valga Lihatööstus. Final confirmation of the
transaction will come when the Finnish Competition Authority approves the
corporate arrangement. The statement from the Finnish Competition Authority is
expected to be ready in January 2005.

AS Valga Lihatööstus is the second largest refiner of beef and pork. Valga's
proportion in the Estonian meat market is approximately 15 per cent, and Valga
products are sold through the most important retail trade chains in Estonia. In
addition, Valga also has a good position in Latvia, and it has agreements with,
for example, the Latvian Rimi chain and the Finnish Citymarket chain.

Valga was privatised in 1994 and since then Valga has succeeded well and gained
profit. In 2003, Valga's turnover was EUR 20,9 million and its result after taxes
was EUR 527,000.
