AU-System strengthens its Financial Position through a Directed New Share Issue Stockholm, Sweden - September 4, 2001 - On September 3, 2001, the Board of Directors of AU-System decided on a directed new share issue of 10,000,000 shares based on an authorization from the Annual General Meeting held on May 11, 2001. The purpose of the new share issue is to strengthen the company's financial position and thereby facilitate further expansion, for example through outsourcing agreements. The shares have been placed with a limited number of Swedish and International institutional investors at a price of SEK 8.00 per share. The new share issue will raise SEK 80 million to the company, before deducting expenses related to the issue. After the new share issue, the total number of shares outstanding in AU-System will amount to 98,853,475 shares, 99,957,727 shares after full dilution as of September 3, 2001. In connection to the transaction, Ericsson is lending 6,600,000 of their AU-System shares to Carnegie. The stock loan will be returned once the new share issue has been registered with the Swedish Patent and Registrations Office, PRV. Carnegie is acting financial advisor in connection to the transaction.
