Audientes A/S: Convertible loan lenders exercise right to partly convert loan to shares at market price, leading to flagging notification around shareholdings.

Audientes A/S (“Audientes” or the “Company”), CVR 36047631, announces that Selandia Alpha Invest A/S and Renewable Ventures Nordic AB (two of the three convertible loan lenders) have exercised their rights and have converted 20% of their loan receivable to shares in Audientes A/S (CVR 36047631). The converted loan amounts to TDKK 877, and the nominal share capital will be increased by TDKK 828.
The conversion rate is DKK 0.1059 (rounded) for a share of nominal DKK 0.10 and has been calculated using the Volume-Weighted Average Price method (known as VWAP) over 10 trading days prior to the approval of the conversion by Audientes’ board of directors.
The fees related to the conversion of the loans is estimated to TDKK 25 exclusive VAT to be paid by Audientes A/S.
Audientes’ share capital increases with 8,278,915 shares to 56,624,683 shares. After the conversion of loan, Selandia Alpha Invest A/S will own 5,519,276 shares, which corresponds to approximately 9.75% of the total no. of shares. The remaining convertible loans amounts hereafter to TDKK 4,968.
After the increase of no. of shares, the percentage of shares belonging to shareholder Michael O. Fehrn, who owns 5,341,160 shares in Audientes A/S, decrease from 11.05% to approximately 9.43% and comes below the 10%-threshold.
