Resolutions made at Axfood AB's Annual General Meeting Election of directors The Annual General Meeting of Axfood resolved on 4 March 2004 that the Company's board shall consist of nine directors. The Meeting resolved to re-elect Göran Ennerfelt, Antonia Ax:son Johnson, Marcus Storch, Gösta Törnroth, Peggy Bruzelius, Annika Åhnberg, Maria Curman, Gunnar Söderling and Mats Jansson. Per Bergman and Ola Forsberg were elected as auditors for terms extending up until the 2008 Annual General Meeting. Purchases and transfers of own stock The Meeting resolved to authorize the Board, on one or more occasions during the period up until the next Annual General Meeting, to make decisions on purchases of the Company's own stock, entailing the right for the Boad to decide on purchases via the Stockholm Stock Exchange. This authorization shall pertain to purchases of up to 2,000,000 shares at a price per share that is within the price interval registered at the Stockholm Stock Exchange at the time of purchase. In addition, the Meeting also resolved to authorize the Board, in connection with the financing of company acquisitions - in cases where the Board finds it appropriate - to transfer the Company's own stock on the stock market or in another manner than on the stock market - entailing the right to decide on deviation from the shareholders' pre-emption rights and that payment shall be possible in another form than money.
