B3 Consulting Group has decided on an early redemption of B3 Consulting Poland
B3 Consulting Group AB (publ) has previously communicated that a redemption of the remaining shares in the associated company B3 Consulting Poland would take place no later than the end of 2025. An agreement has now been signed with the decision to carry out the redemption in August, which means that the company will become part of the group at the end of August 2024.
The transaction means that B3 Consulting Group’s volume and EBIT will grow significantly from September 1, 2024. Furthermore, this early redemption allows B3 to plan and implement measures this fall to stimulate further profitable growth in the Polish company. Both new startup companies and smaller acquisitions in the Polish market are now relevant.

B3 Consulting Poland was founded as a joint venture with B3 Consulting Group in 2018 and has experienced strong development over the years. In 2023, the net revenue amounted to 164,8 MSEK with an EBIT of 24,0 MSEK, and the company now has over 200 employees. B3 Consulting Group currently owns 50% of B3 Consulting Poland and will acquire 40% of the shares from the founders of the company; Rafal Dabkowski (15%) and Martin Nilsson (25%). After the transaction, B3 Consulting Group will own 90% of the shares and the company will henceforth be included in the group's consolidated accounting. Rafal Dabkowski will continue to own 10% of the shares in the company and will serve as the CEO of B3 Consulting Poland going forward.

The total purchase price for the acquisition of the shares in B3 Consulting Poland is expected to amount to 27 257 424 PLN, which corresponds to approximately 73 322 470 SEK, and will be determined on the transaction day in August based on the exchange rate. Payment will be made with approximately 29 328 988 MSEK, based on today's exchange rate, and the remaining amount in shares of B3 Consulting Group. B3 will call an extraordinary general meeting to approve the purchase.
