Communication from the extraordinary general meeting of Bellman Group AB (publ)

Monday 10 December 2018, Bellman Group AB (publ) (”the Company” or ”Bellman Group”) held an extraordinary general meeting. Among other things, the extraordinary general meeting resolved to elect a new board of directors.

The extraordinary general meeting elected Christina Ragsten and Ingalill Östman as new board members for the period until the end of the next annual general meeting. Robin Karlsson resigned from the board. In connection with the amendments, Björn Andersson is taking over the role as chairman of the board of directors.

The board of directors thus consists of Björn Andersson (chairman), Christina Ragsten (new election), Ingalill Östman (new election), Håkan Lind and Per Nordlander.

The amendment of the board of directors aims to strengthen the Company’s competence and experience in order to meet the requirements, which Bellman Group will face in its future development.

Christina Ragsten has experience from senior positions at Nordea and as manager, Deputy Director-General (Sw. departementsråd), of the unit for state-owned companies. Apart from being a board member of Bellman Group, she is currently also a board member of Naventi Fonder AB (chairman) and Forex Bank AB. Previous directorships include HIQ International AB, Vasakronan AB and Posten AB.

Ingalill Östman has experience from a number of managerial positions, the latest within Castellum and prior to that, SKF and ABB. Apart from being a board member of Bellman Group, she is currently also a board member of Allgon AB (publ), Länsförsäkringar Göteborg och Bohuslän and StyrelseAkademin Västsverige. Previous directorships include Ovako Group AB.

The extraordinary general meeting also resolved that the remuneration for the period until the next annual general meeting shall be SEK 175,000 to Björn Andersson and SEK 87,500 to each of Christina Ragsten and Ingalill Östman, and that no remuneration shall be paid to the other board members.
