Report from the Extraordinary shareholders' meeting

Today, October 10, 2014, an extraordinary shareholders' meeting was held at the Headquarters of BIMobject AB where decisions were made on directed share issue as described as follows. The decision was taken with the required majority and unanimously.

Resolution on directed share issue
The shareholders settled for a directed share issue according to following terms:

  1. Through directed share issue, increase the company share capital to the maximum amount of 98 687,60 SEK through directed share issue of the maximum amount of 2 242 900 shares, exclusively with a par value of 0,044 SEK. The subscription price is set to 14,00 SEK per share. At full accession, the total share issue amounts to a maximum of 31 400 600,00 SEK.
  2. Right to subscribe for shares shall, with deviation from the shareholders preferential rights, be Hexagon AB;
  3. that dividend for the new shares will be paid on the dividend record date that falls after the share registration in the Euroclear Sweden AB share register;
  4. that the new shares shall be subscribed at the latest October 17, 2014
  5. that payment for the new shares shall be made in cash at 14,00 SEK per share by the latest October 17, 2014;
  6. that the Board of Directors are entitled to extend the subscription period as well as transfer the settlement date;
  7. that subscription of the new shares shall occur with binding effect on a specific share issue list;

Deviation from the shareholders preferential right and valuation by the Board of Directors
The reason to deviate from the shareholders preferential rights, is to add a new shareholder with strategic value to the company. The subscription price is determined by an established market  value considered a volume-weighted average share rate over 10 trading days with final date, September 11, 2014.
