Biokraft appoints advisers in relation to the potential mandatory offer by 1Vision Biogas

On 18 December 2023 Aneo Renewables Holding AS and St1 Sverige AB announced their intention to consolidate their ownership in Biokraft International AB (publ) ("Biokraft") into a jointly owned limited company, 1Vision Biogas AB (“1Vision Biogas”). The consolidation is conditional on receipt of necessary clearances or approvals by relevant competition and foreign direct investment authorities. 1Vision Biogas expects to receive such clearances or approvals in the first quarter of 2024. Provided that necessary regulatory clearances or approvals are obtained, 1Vision Biogas will own approximately 55 percent of the shares and votes in Biokraft, and thereby exceeding the threshold for a mandatory offer under applicable takeover rules (the “Potential Offer”).

 

The Board of Directors of Biokraft has appointed ABG Sundal Collier AB as financial adviser and Cirio Advokatbyrå AB as legal adviser in relation to the Potential Offer.

 

The board members Jan Helland Eide and Håkon Welde are considered conflicted due to their respective roles at Aneo Renewables Holding AS. Jan Helland Eide and Håkon Welde will not participate in the Board of Directors of Biokraft’s handling of matters relating to the Potential Offer.
