Bock Capital: Sale of shares in Internationella Engelska Skolan i Sverige Holdings II AB (publ)

Bock Capital Investors S.à r.l. (“Bock Capital”) has sold 7,000,000 shares in Internationella Engelska Skolan i Sverige Holdings II AB (publ) (“IES”) (Nasdaq Stockholm: ENG) to the Paradigm Capital Value Fund and other institutional investors advised by Paradigm Capital AG (the “Sale”). The price was set to SEK 67 per share, which means that the total value of the Sale amounted to SEK 469 million. ABG Sundal Collier AB (“ABG Sundal Collier”) advised Bock Capital in connection with the Sale.

As a result of the Sale, Paradigm Capital Value Fund becomes the third largest owner of IES, with total holdings of 3,305,621 shares and votes in IES, corresponding to 8.3 percent of total number of shares and votes in IES and the Paradigm Capital Value LP will own 2,010,536 shares and votes in IES corresponding to 5.0 percent of total number of shares and votes in IES. Following the Sale, Bock Capital’s holdings decreased from 19,904,970 shares and votes in IES to 12,904,970 shares and votes in IES, and from 49.7 percent to 32.2 percent of the total number of shares and votes in IES. Bock Capital remains as the largest owner in IES.

Subject to customary exceptions or obtaining consent from ABG Sundal Collier, Bock Capital has agreed to a lock-up period of 120 days, in relation to its remaining shares in IES.
