Issue and repurchase of class C shares under incentive program

The board of directors of Bravida Holding AB (“Bravida”), (Nasdaq Stockholm: BRAV), has today resolved to issue and immediately thereafter repurchase 820,000 class C shares. 

By virtue of authorisation from the annual general meeting on 7 May 2024, the board of directors of Bravida has resolved to increase the capital by SEK 16,400, through a directed cash issue of 820,000 class C shares to DNB Bank ASA, Sweden Branch (“DNB”), at a subscription price corresponding to the quota value of the shares. Furthermore, the board of directors of Bravida has resolved to immediately repurchase all 820,000 class C shares from DNB at a price corresponding to the subscription price. 

The purpose of the issue and the repurchase is to ensure delivery of ordinary shares to employees in the group who participates in the performance based incentive program, LTIP 2024, that was adopted at the annual general meeting on 7 May 2024, by Bravida subsequently reclassifying the shares into ordinary shares. 

Since earlier, Bravida holds 1,064,327 class C shares. The class C shares do not entitle to dividends and have 1/10 voting right each.
