Brighter acquires Camanio AB and decides on a non-cash issue.

Brighter AB (publ) ("Brighter") has on this day acquired all shares in Camanio AB in accordance with the previously announced share transfer agreement between Brighter and Camanio Care AB (publ) ("Camanio Care") on September 29, 2019. A prerequisite for the acquisition was that Camanio Care's operations had been transferred to Camanio AB, which took place and was announced today.

The purchase price for Camanio AB amounts to SEK 17 million and was paid through a non-cash issue in which Brighter issued and allotted 1,597,744 shares to the seller Camanio Care, and Camanio Care transferred the shares in Camanio AB as capital contributed in kind. The subscription price per share was SEK 10.64, which corresponds to the volume-weighted average price during the 20 trading days preceding this day. The rights issue increases Brighter's share capital by SEK 79,887.20. The decision on the rights issue was made by the Board of Directors with authorization from the Annual General Meeting on May 9, 2019.

“The Camanio operations will be completely independent in the form of a separate subsidiary with its own management and board, while Brighter will continue to focus on selling the Actiste service and developing new application areas,” says Henrik Norström, Brighter's CEO.
