Brighter carries out a directed share issue of up to SEK 20 million.

The board of Brighter AB has decided, on a board meeting held February 26th2019, to carry out a directed share issue totalling up to SEK 20 million, on the basis of an authorisation from the Annual General Meeting on May 16th2018.

Knight Capital Limited (“The investor”) has signed for new shares in Brighter AB for SEK 10 million with Brighter having a call option for an additional SEK 10 million.

TERMS OF THE NEW ISSUE
The share price shall for the initial issue of shares be established by the VWAP of the Brighter share during the period of March 1stto 21stwith an 8% discount.

The share price for the optional issue shall be established by the VWAP of the Brighter share during the period of March 21stto April 1stwith an 8% discount.

The payments for the new issues shall occur within 3 business days from establishing the share price as stated in the terms above.

The reason for deviation from the shareholders’ preferential right is to raise capital in a time- and cost-efficient manner, deemed favourable for the company's shareholders in the long term.
