Brighter postpones its Annual General Meeting (AGM) due to new audit report

Brighter AB (Publ.) (the “Company”) announced that it has learned that the Company's auditor failed to note in the auditor's report issued on April 13, 2022 that the Company's Annual General Meeting in 2021 was not held within the 6-month deadline from year end 2020. The auditor has therefore submitted a replacement auditor's report.

The Company's auditor regrets the error.

The difference from the previously published audit report is as follows:

  • The preamble states that the replacement auditor's report replaces the previously submitted auditor's report.
  • The auditor remarks that the AGM 2021 was not held within 6 months from the end of the financial year and, as other information, that the auditor in his previously submitted auditor's report did not note this.

Although this is not considered a significant change or a new or unknown circumstance and therefore does not affect the views expressed in the audit report, the Company considers that publishing a replacement auditor's report at this stage may constitute a formal error in the AGM notice procedures, which may lead to a risk that the AGM proceedings can be challenged on formal grounds. The Company has therefore decided to call a new AGM.

The planned Annual General Meeting on May 5, 2022 has thus been canceled. The Company will shortly announce a new date for the AGM 2022.
