BROSTRÖMS IS PLANNING ITS OWN SHARE PRICE INDEX At Broströms' first Annual General Meeting since the IPO in June last year, the Managing Director, Lennart Simonsson, informed about the plans of introducing a new share price index including Swedish as well as non- Swedish transportation and logistics companies. The introduction is in line with Broströms' long-term endeavour to become the market leader within marine logistics for the oil and chemical industry. The market for transportation of oil and chemical products is changing quickly, the reason being the comprehensive restructuring among the oil and chemical companies. They increasingly focus on their core business and tend to enter into partnership with global transport and logistics operators. - We take an active role in the on-going restructuring of the market and I believe Broströms is very well positioned to take advantage of the changes to come in the years ahead. This implies an increased focus on marine transport and logistics solutions which makes benchmarks against traditional shipping companies included in the existing stock price indexes less relevant, says the Managing Director, Lennart Simonsson. Mr Simonsson further stated that the market for the shipping operations would remain under pressure for the near future but that long-term the prospects for Broströms were good with positive fundamental conditions. Summary of decisions made at the AGM · A dividend of SEK 0.50 per share for 1998, with 17 May 1999 as the reconciliation date and payment on 25 May 1999. · A total fee of SEK 640,000 to the Board of Directors to be distributed among the members at the discretion of the Board. Auditors to be remunerated as per approved invoice. · Re-election of the board members Lars-Olof Gustavsson, Roelof R. Hendriks, Vilgot Johansson, Claes Lundblad and Leif Rogersson. In addition, the AGM elected Peter Cowling and Rick C. van Westenbrugge as new members of the Board. · Re-election of the auditors Pär Sundaeus and Lars Nordberg and of the deputy auditors Bror Frid and Berth Hilmersson. The AGM also decided to change the articles of association, primarily in order to comply with the new rules in the Swedish Companies Act. The following items are nvolved: · Rules about the terms for auditors, replaced by the rules of the new law. · Rules about notices for annual general meetings and the means of summoning. · Rules about latest day for notification and notification of any assistants. · The agenda for annual general meetings supplemented by an item for the approval of the agenda and an item regarding the number of board members and deputies.
