Report from the Annual General Meeting of Broström AB on 27 April 2005

Broström held its Annual General Meeting at Stora Salen, Konserthuset (the Concert Hall) in Göteborg on Wednesday 27 April. MD’s speech – Growth and Global Expansion Broström’s MD Lennart Simonsson referred in his speech at the AGM to what he had said at last year’s AGM. The conclusion was that Broström during 2004 and at the start of 2005 has fulfilled what was said. Lennart Simonsson particularly pointed out his earlier commitments about growth through structural transactions and strategic co-operations and also the plans for global expansion. In a few months’ time Broström has acquired Danish Nordtank and outstanding shares in the associated company Iver Ships. At the same time the company has entered into strategic co-operations with the Turkish company Dünya and the Swedish company Furetank and also purchased vessels and stakes in vessels. “Our purpose with the acquisition of Iver Ships and the co-operation with Dünya is to enlarge our customer offer within global product and chemical tanker shipping, mainly in Asia”, said Lennart Simonsson. Together with Broström’s own newbuildings and the vessels ordered by existing partners the current transactions entail that the fleet commercially operated by Broström only in a few years will go from 63 to close to 100 vessels. “It will give us good opportunities of further improving efficiency and utilisation at the same time as flexibility and reliability for the customers are improved as well”, said Lennart Simonsson. Dividend The Annual General Meeting approved and adopted a cash dividend of SEK 5.00 per share in accordance with the Board’s proposal. Record date will be Monday 2 May and payment is expected to take place through VPC on Friday 6 May 2005. Election of Board of Directors Stig-Arne Blom, Peter Cowling, Carel van den Driest, Lars-Olof Gustavsson, Claes Lundblad, Leif Rogersson and Wilhelm Wilhelmsen were all re-elected. Fredrik Svensson was elected new member of the Board. At the Board meeting following the AGM, Lars-Olof Gustavsson was re-elected Chairman of the Board. Acquisition and transfer of the company’s own shares The AGM approved the Board’s proposal regarding authorisation for the Board to decide on acquisition and transfer of the company’s own shares not exceeding ten per cent of all shares in the company. Issue of subordinated debenture loans with detachable warrants for subscription of shares The AGM approved the Board’s proposal regarding resolution to issue subordinated debenture loans with detachable warrants for subscription of shares. Authorisation of new share issue The Board’s proposal that the AGM authorises the Board of Directors, pursuant to the articles of association, without pre-emption rights for the shareholders, to decide on a new share issue of a total of 3,200,000 B-shares on one or more occasions, for a period until the forthcoming AGM, for a consideration of capital contributed in kind, was approved by the AGM.
