Statement by the Independent Directors of BTL 1) "The Independent Directors have considered, together with their advisers, Deutsche Bank AG London, the terms of the offer made by Stinnes AG, through its subsidiary Schenker International AB, for the outstanding shares in BTL. The Independent Directors note that Stinnes decided to purchase shares in the market, and that a number of shareholders decided to sell their shares, before the Independent Directors had an opportunity to form a considered opinion of the financial terms of the offer and to inform shareholders of that opinion. The Independent Directors do not intend to express an opinion on the terms of the offer until they have had further discussions with Stinnes AG and with BTF, which owns 7.6 per cent of the equity and 14.8 per cent of the votes of BTL. The Independent Directors will express an opinion on the terms of the offer th well in advance of the closing date of the offer on 18 March, 1999. Until the Independent Directors have expressed an opinion on the offer, shareholders are advised to take no action in respect of their shares and not to sell their shares in the market."
