Annual General Meeting of Bure: - Bure Health Care to be distributed to the shareholders - Cash dividend of SEK 3 per share - Leif Edvinsson new Board Member Bure Health Care will be distributed to the shareholders and will be quoted on the O list of the OM Stockholm Exchange under a new name by 1 December according to a resolution passed by today's Annual General Meeting of Bure. In addition, a cash dividend of SEK 3 per share will be paid to the shareholders. The decision to distribute Bure Health Care means that shareholders in Bure will receive one share in Bure Health Care for every two shares in Bure. On the date of the AGM, the book value of the distributed asset was calculated at SEK 1,460M, equivalent to SEK 13.40 per share. Record day for distribution of Bure Health Care was set at 1 December 2000. However, the AGM gave the Board of Directors a mandate to bring forward the record day taking into account the planned stockmarket listing, but not earlier than 1 September 2000. "With Bure Health Care, Bure's shareholders get an attractive share with significant value potential both in the short and long term. The share will be the first of its kind on the Nordic stockmarkets and should attract both Swedish and international investors," said Roger Holtback, President of Bure. In addition to the distribution of Bure Health Care, a cash dividend of SEK 3 is paid, equivalent to SEK 327M. Record day is 7 April 2000 and the dividend will be remitted on 12 April 2000. The Board of Directors intends to propose to next year's AGM a dividend to the shareholders that is at least on a par with this year's cash dividend. The Bure Board is positive to the buy-back of own shares. However, in connection with the distribution of Bure Health Care and cash dividend, SEK 1,787M of the Parent Company's non-restricted capital will be utilised capital of SEK 1,931M. The Board therefore intends to revert to the shareholders later on with a proposal for the buy-back of own shares. Gösta Wiking, Roger Holtback, Urban Jansson, Maria Lilja and Peter Sandberg were re-elected Board Members. In addition, Leif Edvinsson was elected Board Member. At the Inaugural Board Meeting, Gösta Wiking was elected Chairman. The former Board Members, Jan Blomberg, Olle G P Isaksson and Berthold Lindqvist will be proposed as new Board Members of Bure Health Care together with its Chairman, Roger Holtback. In addition, Bure's Nomination Committee proposes that Monica Lindstedt be elected Board Member of Bure Health Care. Jan-Erik Erenius (AMF), Christer Mattsson (KP Pension & Försäkring), and Caroline af Ugglas (Skandia) were proposed as Members of the Nomination Committee. The AGM decided to approve an issue of debt instruments with detachable warrants in the subsidiaries, Dimension, Cygate, Citat and Informator Training Group. In addition, it was decided that the President of Mercuri International may acquire 1.8 per cent of the shares in the company for a total of SEK 5.69M, and that two persons in Informator Training Group's Executive Management may acquire up to 9.9 per cent of the shares for a total of SEK 24.75M. The fact that senior executives in Bure Training and Education also acquire participations in their respective companies is very pleasing and secures strong involvement in the continued expansion of the Business Area," said Roger Holtback.
