The Nomination Committee
The 2011 Annual General Meeting of the Byggmax Group AB instructed the Chairman of the Board to, every year by the end of the third quarter, convene the three largest shareholders in the Company by size of shareholding registered with Euroclear Sweden AB as per August 31. Each of these is entitled to appoint a member of the Nomination Committee. In addition to these three members, the Chairman of the Board can also be appointed a member of the Nomination Committee. The mandate period of the Nomination Committee extends until such time as a new nomination committee is appointed. The composition of the Nomination Committee is made public no later than six months prior to the Annual General Meeting.
The Nomination Committee is comprised as follows:
Fredrik Strömholm from Altor Equity Partners
Mats Gustafsson from Lannebo Fonder
An additional member will be appointed to represent the Company’s third largest registered shareholder. Additional information in this regard will be provided as soon as this member has been appointed.
The Nomination Committee prepares and in conjunction with the Annual General Meeting makes the following proposals for:
- election of Chairman of the Annual General Meeting,
- election of Chairman of the Board and other members of the Board of Directors,
- fees for the Chairman of the Board and other Board members,
- election of and fees for auditors and deputy auditors (where applicable), as well as,
- resolution of policy governing appointment of the Nomination Committee (where applicable).
The 2012 Annual General Meeting of Byggmax will take place on April 20, 2012 in Stockholm.
