Beslut och information från C-RAD ABs (publ) årsstämma 2013
C-RAD AB (publ) med tre helägda dotterbolag i Sverige och tre internationella säljbolag är alla verksamma inom området strålbehandling av patienter med cancer. Årsstämman 2013 i C-RAD AB (publ) genomfördes fredagen 31 maj i Uppsala.
Vid årsstämman fattades följande beslut och gavs följande information.
Nuvarande VD för C-RAD Positioning AB, Tim Thurn, tillträder från 1 juli 2013 också befattningen som VD för moderbolaget C-RAD AB (publ). Nuvarande VD, Erik Hedlund, kvarstannar som styrelseledamot i moderbolaget samt som arbetande styrelseordförande i de tre dotterbolagen C-RAD Positioning AB, C-RAD Imaging AB och C-RAD Innovation AB.
VD och styrelseledamöterna beviljades ansvarsfrihet.
Mats Thorén lämnar sitt styrelseuppdrag i C-RAD AB (publ). Mats Thorén avtackades av ordföranden. Börje Bengtsson, Erik Hedlund, Anders Brahme och Bengt Lind omvaldes. Dessutom invaldes Peter Hamberg. Börje Bengtsson omvaldes till styrelseordförande.
Det beslutades att styrelseledamöter som ej tillhör grundarkretsen skall ersättas med 240 000 kr fram till nästa årsstämma. Därav utgår 160 000 kr till styrelsens ordförande. Arvode till revisorerna utgår enligt löpande godkänd räkning.
Årsstämman beslutade att ge styrelsen bemyndigande att fatta beslut om nyemission av B-aktier, konvertibler och/eller teckningsoptioner i enlighet med förslaget. Sådana emissioner får inte medföra att C-RAD ABs (publ) aktiekapital överstiger 3 600 000 kr.

C-RAD has acquired 29 % of the laser company Cyrpa and with an option to acquire the remaining 71 %. C-RAD AB is since March 2010 listed at Nasdaq Omx First North Premier.
