Cabonline Group Holding AB (publ) resolves on a directed new share issue

Cabonline Group Holding AB's (publ) (”Cabonline” or the ”Company”) board of directors has today, with support from the authorisation from the extraordinary general meeting 23 October 2023, resolved on a directed new share issue of 7,500,000,000 shares in total (whereof 7,050,000,000 D-shares, 250,000,000 D1-shares and 200,000,000 D2-shares) to the new majority owners

As a final step in the ongoing restructuring of Cabonline's debt structure, as described in more detail in press releases from 15 July 2023 and 21 August 2023, and in the written procedure initiated on 20 September 2023, a directed new share issue of 7,050,000,000 D shares, 250,000,000 D1 shares and 200,000,000 D2 shares has been carried out. Payment has been made by way of set-off in connection with the write down today of Cabonline's senior secured sustainability-linked floating rate notes (ISIN SE0017767346) by SEK 425,000,000.

The Company's share capital will increase by SEK 75,000,000 to SEK 78,555,684.93 through the new share issue and the number of shares will increase from 355,568,493 shares to 7,855,568,493 shares (whereof 33,779,007 A-shares, 1,777,842 B-shares, 320,011,644 C-shares, 7,050,000,000 D-shares, 250,000,000 D1-shares and 200,000,000 D2-shares). The directed share issue is expected to be registered with the Swedish Companies Registration Office during week 45 2023.
