Decisions of the organisational meeting of CapMan Plc Board of Directors

Andreas Tallberg was elected Chair and Mammu Kaario Vice Chair of the Board of Directors at the Board of Directors’ organisational meeting that took place today after CapMan Plc’s Annual General Meeting.

The Board of Directors established Audit and Remuneration Committees from among its members. The compositions of the committees are as follows:

Audit Committee

  • Mammu Kaario (Chair) 
  • Johan Bygge
  • Catarina Fagerholm

Remuneration Committee

  • Andreas Tallberg (Chair)
  • Catarina Fagerholm
  • Olli Liitola

Independence of the members of the Board of Directors

The Board of Directors assessed the independence of its members and concluded that Johan Bygge, Catarina Fagerholm, Mammu Kaario, Olli Liitola and Andreas Tallberg are independent of both the company and its significant shareholders. Johan Hammarén is non-independent of the company’s significant shareholders due to his membership of the Board of Directors in Silvertärnan Ab, which is a significant shareholder in CapMan Plc, and non-independent of the company due to his employment with a group company during the past three years. Hence, the committees fulfil the independence requirements of the Finnish Corporate Governance Code 2020 for listed companies.
