CO2 Capsol: Resolution to increase share capital

Oslo, August 11, 2022


The Board of Directors of CO2 Capsol AS (“CO2 Capsol” or the “Company”) has
today, pursuant to the board authorization granted by the Company's general
meeting held on 22 April 2022, resolved to increase the Company's share capital
with NOK 2,950,619 by the issuance of 2,950,619 new shares.

The new shares are issued in a private placement to Q Capital AS, T.D. Veen AS,
Middelborg Invest AS and Lighthouse Reef AS (collectively the “Subscribers”) in
connection with exercise of a contractual subscription right at a price of NOK
3.23 per share. The shares must be subscribed within one week of today. The
total subscription amount is NOK 9,530,499.37.

Further details regarding the subscription rights are set out in section 9.7.1
of the Information Document published by CO2 Capsol on 17 December 2021 in
connection with the admission to trading of its shares on Euronext Growth.
Following registration of the share capital increase in the Norwegian Register
of Business Enterprises, the Company will have a share capital of 53,533,395,
divided into 53,533,395 shares, each having a nominal value of NOK 1. Each share
carries one vote.

There are, following exercise of these subscription rights, no outstanding
warrants, share options or subscriptions rights except for the share option
program allocated to the Board and employees.
