Contemplated sale of shares in Munters Group AB (publ)

Carnegie Investment Bank AB (”Carnegie”) and Jefferies International Limited (“Jefferies”) have been retained to explore the opportunity to sell approximately 25 million shares in Munters Group AB (publ) ("Munters") to Swedish and international institutional investors in an accelerated book-building process (the “Share Sale”). The shares that are the subject of the Share Sale are owned by Cidron Maximus S.à.r.l. (“Cidron”, a company ultimately owned by Nordic Capital Fund VII[1]).

Cidron’s current holding amounts to 91,999,607 shares, representing 50.1% of the total number of shares and votes in Munters.

The price per share in the Share Sale will be determined through an accelerated bookbuilding process. The bookbuilding period commences today, 12 June 2019, at 17:30 CET and may close at any time on short notice. Subject to customary exceptions or obtaining consent from Carnegie and Jefferies, Cidron has agreed to a 90-day lock-up period in relation to its remaining shares in Munters.

Carnegie and Jefferies act as joint bookrunners in connection with the Share Sale.
