Sale of shares in Capio AB (publ)

Apax Europe and Nordic Capital Fund VI 1), in each case through holding companies (together the “Sellers”), announce the successful placement of 20,000,000 shares in Capio AB (publ) (“Capio”) through an accelerated bookbuilding process to institutional investors (the “Placement”). The selling price was SEK 49 per share.
Following the Placement, the Sellers will own the following number of shares, corresponding to the following % of the number of shares and votes in Capio:
- Apax Europe: 15,176,793 shares, corresponding to 10.8% of the shares and votes
- Nordic Capital Fund VI: 26,605,644 shares, corresponding to 18.8% of the shares and votes
Each of Apax Europe and Nordic Capital Fund VI has agreed that its remaining Capio shares will be subject to a 60 day lock-up, subject to customary carveouts.
Carnegie Investment Bank AB and SEB have acted as Joint Bookrunners in connection with the Placement.
