SCRIBONA IS QUOTED ON THE OSLO STOCK EXCHANGE As of today, May 10, Scribona AB's class B share is quoted on the Oslo Stock Exchange. The quotation is the result of a merger between Scribona AB and PC Lan ASA. Scribona AB's class B share will be traded on the Oslo Stock Exchange under the ticker SCRB. Scribona AB is quoted on the Stockholm Stock Exchange and traded under tickers SCRIA 1) for class A and SCRIB for class B shares. Facts about the merger Scribona AB (publ) (Scribona") and PC Lan ASA ("PC Lan") will merge to form the Nordic region's leading supplier of IT products and IT solutions. The merger will be carried out pursuant to Scribona's public offer to the shareholders in PC Lan on February 5, 2001, to acquire all outstanding shares in PC Lan in exchange for shares in Scribona. The offer has now been completed and, in accordance with the authorization of the Annual General Meeting on February 28, 2001, Scribona has issued 16,821,980 class B shares as compensation for the PC Lan shares acquired through the voluntary offer. The merger between Scribona and PC Lan, including PC Lan's acquisition of Merkantildata's logistics operations in Denmark, will create the Nordic region's largest supplier of IT products and IT solutions with estimated annual sales of around SEK 15 billion. The merged company will be the market-leader in all geographic markets where it is represented. The respective companies' core competencies are well matched, giving the merged company a strong position in both volume distribution and system solutions. The product portfolio and customer base in PC Lan are a valuable complement to Scribona's product offering and customers, which means that the two companies' capacity towards customers and suppliers will be enhanced through the merger. After the merger, Scribona's largest owners are Bure Equity AB with 34.2 percent of the share capital and 27.1 percent of the votes and PC Lan ASA's other stockholders representing 11.6 percent of the capital and 9.2 percent of the votes in Scribona. Scribona's class A and B shares are traded at approximately the same prices on the OM Stockholm Stock Exchange. (The only significant difference between the classes is the voting rights they carry - 5 votes for each class A share and 1 vote for each class B.) Scribona wishes to convert its class A to class B shares in order to eventually have shares only of class B. To date, a substantial number of class A shares has been converted to class B.
