Scribona submits a mandatory offer to the other shareholders in PC LAN On April 24 2001 Scribona AB (publ) ("Scribona") lifted all conditions to the voluntary offer to the shareholders in PC LAN ASA ("PC LAN") and thus acquired 95.4% of all outstanding shares in PC LAN. According to the Securities Trading Act Scribona then became obliged to submit a mandatory offer to the remaining shareholders in PC LAN. According to the rules and regulations of the Securities Trading Act Scribona now submits a mandatory offer to the remaining shareholders in PC LAN to the extent this can be lawfully done under the legislation of each jurisdiction where PC LAN shareholders have their address or reside. In connection with the mandatory offer Scribona will initiate a compulsory acquisition of the shares owned by the other PC LAN shareholders according to the Norwegian Public Limited Companies Act, § 4-25. This resolution will be effective on the first day of the mandatory offer period and will be documented in the offering circular for the mandatory offer. The offer is NOK 3.72 per PC LAN share which represents a premium of 24,0% compared to the PC LAN share price at the time when Scribona became obliged to submit a mandatory offer (NOK 3.00 on April 24 2001). The offer price is calculated as described in the offering circular for the voluntary offer and is in accordance with the Securities Trading Act § 4-10. The offer price will be the same as the settlement price for the compulsory acquisition. The offer period will be from May 22, 2001 to June 19, 2001 at 4 pm (Norwegian time). The offering circular wil be distributed to all shareholders in PC LAN at the beginning of the offer period.
