Cell Network AB (formerly Linné Group AB) sets Extraordinary General Meeting on December 20 Shareholders of Cell Network AB (publ) are being called to an Extraordinary General Meeting of the company at 10:00 a.m., December 20, 1999 at the Radisson SAS Scandinavia Hotel Göteborg (formerly the Sheraton Göteborg Hotel & Towers), Södra Hamngatan 59-65 in Gothenburg. Matters to be handled at the Meeting Matters to be handled at the meeting include the Board of Directors' proposal for a vote on the sale of all of the shares of the subsidiary Caesar Business Systems AB ("Caesar") to an investment group consisting of approximately 20 persons, including members of Caesar's management and persons closely related to them. The group also includes persons who hold, or have held, executive positions in Cell Network AB (publ) ("Cell Network"), among them Gino Vettese, who up until November 27 was a member of Cell Network's Board of Directors. Gino Vettese did not participate in the Board's consideration and evaluation of the proposed sale. In brief, the proposed transaction means that all Caesar Business System shares are being sold for a total of SEK 85 M. The sale, including payment, is expected to become effective December 21, 1999 on otherwise customary terms. It is estimated that the proposed sale will result in a capital gain of approximately SEK 53 M for Cell Network. The complete text of the Board resolution proposing the vote, together with the fairness opinion with respect to the investment group's offer that is to be prepared by Öhrlings PricewaterhouseCoopers AB, will be available to the shareholders at Cell Network's head office in Västra Frölunda, effective Monday, December 6, 1999. Notification A shareholder who wishes to participate in the Meeting must be recorded in the share register maintained by VPC AB [Swedish Securities Share Register] not later than December 10, 1999, and must notify the Cell Network of his/her intention to participate, not later than 12:00 noon, December 16, 1999. Notice is to be sent to Cell Network AB, F O Petersons gata 28, SE-421 31, Västra Frölunda, or transmitted via telefax to No. 031-47 04 61. Notice may also be given by telephone, by calling Susanne Aspenholt at 031-722 10 03, or via e- mail addressed to susanne.aspenholt@cellnetwork.com. When giving notice shareholders must state their name and applicable personal or organization number, as well as their address and telephone number. A shareholder who wishes to be accompanied by an assistant at the Meeting must notify Cell Network of the number (not more than two) of assistants that the shareholder wishes to bring to the Meeting. Such notice must be given as specified in the preceding paragraph. To be eligible to participate in the Meeting, a shareholder whose shares are registered in the name of a trustee must, in ample time before December 10, 1999, request that the trustee temporarily register the shares in the share register in the name of the shareholder.
