Cell Network AB sells subsidiary Caesar Business Systems AB and posts capital gain of about SEK 53 M At an Extraordinary General Meeting in Cell Network AB on December 20, 1999, it was decided to sell the subsidiary Caesar Business Systems AB. Under the terms of the sale, all shares in Caesar are being transferred for a total purchase price of SEK 85 million, resulting in a book capital gain in Cell Network AB of about SEK 53 M. Background to the sale and the buyer Cell Network AB is divesting Caesar Business Systems AB as part of the goal to streamline operations. The sale is being made to an investment group of about 20 persons from the management of Caesar Business Systems AB and persons with close business relations to them. The group also comprises persons who hold or have held leading positions in Cell Network AB. including Gino Vettese, who was a Board member until November 27, 1999. Gino Vettese was not involved in the Board's review or assessment of the offer presented. In considering the sale, the Board secured an independent assessment of the bid from a financial viewpoint, a fairness opinion, from Öhrlings PriceWaterhouseCoopers AB. Transfer It is intended that the transfer of property and payment will be made on December 21, 1999 based on otherwise generally accepted terms.
