Mandator's public offer to acquire Cell Network - successful At Mandator's and Cell Network's Extraordinary Shareholders' Meetings on May 30, 2000, shareholders approved all necessary amendments to the two companies' Articles of Associations to complete the merger. The amendments included inter alia a change of names from Mandator AB (publ) to Cell Network AB (publ) ("New Cell Network") and from Cell Network Aktiebolag (publ) to Cell Network Frölunda Aktiebolag ("Old Cell Network"). Final result of tender offer for Old Cell Network On April 20, 2000, the offer for Old Cell Network was declared unconditional as New Cell Network had received acceptances in excess of 90% of the total number of outstanding shares in Old Cell Network. However, in order to allow all shareholders and holders of options the opportunity to accept the offer, the acceptance period was extended by four weeks to May 23, 2000. At the end of the extended acceptance period, New Cell Network had received acceptances representing 96.7% of the total number of outstanding Old Cell Network shares and 99.9% of the total number of Old Cell Network options. It is expected that shareholders who have accepted the offer during the extended acceptance period, and holders of options who have accepted the offer during the original acceptance period, will receive their shares in New Cell Network during the week starting June 19, 2000. On an Extraordinary Shareholders' Meeting on June 30, 2000, the meeting will resolve on a new share issue directed to those holders of options who have accepted the offer during the extended acceptance period. It is expected that such holders of options will receive their shares in New Cell Network around mid July, 2000. Compulsory redemption In accordance with previous statements, the Board of Directors of New Cell Network intends to commence, as soon as practicable, the process of compulsory redemption of all remaining Old Cell Network shares pursuant to the Swedish Companies Act. Delisting of Old Cell Network The Board of Directors of Old Cell Network has applied for a delisting of the Old Cell Network shares (ticker symbol: CELL) from the O-list of the Stockholm Stock Exchange. The last day of trading for the Old Cell Network shares will be June 14, 2000. Ticker symbol for New Cell Network on the Stockholm Stock Exchange Until the change of name from Mandator AB (publ) to Cell Network AB (publ) has been formally registered with the Swedish Patent and Registration Office, New Cell Network will trade under the ticker symbol MAND. After the registration has been completed, which is expected to take approximately two weeks, New Cell Network's ticker symbol will change to CELL.
