CERTIFICATE OF REGISTRATION

Today, Codfarmers ASA has received a new company
certificate after registration of the private
placement as previously announced in notice to the
Oslo Stock Exchange on 19 November 2007 and as
further decribed in the prospectus approved by
Oslo Børs today.

New share capital is NOK 2,037,635 divided into
20,376,350 shares each with a par value of NOK
0,10.

The 3,448,200 new shares issued in the private
placement, will be listed on Monday 3 December
2007.
