COD – NEW SHARE CAPITAL REGISTERED

Reference is made to the stock exchange announcement made by Codfamers ASA (“Codfarmers”) dated 8 February 2012 regarding the private placement of 15,000,000 new shares at a subscription price of NOK 2 per share (the “Private Placement”) and subsequent offering of up to 15,000,000 new shares at a subscription price of NOK 2 per share (the “Subsequent Offering”). The Private Placement and the Subsequent Offering were approved by an extraordinary general meeting of Codfarmers held on 8 March 2012.

The share capital increase pertaining to the Private Placement has now been registered with the Norwegian Register of Business Enterprises. As a consequence, Codfarmers’ new registered share capital is NOK 57,284,186, divided into 57,284,186 shares, each with a nominal value of NOK 1.

Codfarmers will issue a prospectus for the listing of the new shares issued in the Private Placement and for the Subsequent Share Offering. The shares that are issued in the Private Placement will not be tradable on Oslo Børs until the prospectus has been issued.
