COD – SHARE CAPITAL INCREASE REGISTERED

Reference is made to the announcement made by Codfarmers ASA (“Codfarmers”) on 27 September 2011 regarding the final result of the voluntary exchange offer (the “Offer”) for all issued and outstanding shares in Atlantic Cod Farms AS (“ACF”).

The share capital increase related to the Offer has now been registered with the Norwegian Register of Business Enterprises.

The new share capital of Codfarmers is NOK 32,010,504 divided into 32,010,504 shares, each with a nominal value of NOK 1.

The new shares issued in the Offer will be delivered to the accepting ACF shareholders on 29 September 2011 (immediately following which such shares will be tradable on Oslo Børs).
