Final result of share issue with subscription rights

Reference is made to the stock exchange notifications dated 25 June 2009 and 31 July 2009 regarding the share issue with subscription rights (“Rights Offering”) of up to 2,000,000 new shares in Codfarmers ASA (“Codfarmers” or the “Company”). The subscription period for the Rights Offering expired on 14 August 2009 at 17:30 hours (CET). Upon expiration of the subscription period, subscriptions for a total of 78,047 new shares had been received. Based on the allocation criteria set out in the prospectus dated 30 July 2009 (the “Prospectus”) a total of 78,047 new shares have been allotted. Notifications of allocated new shares and the subscription amount to be paid by each subscriber are expected to be distributed in letters from VPS on or about 18 August 2009. The payment for the allocated shares falls due on 24 August 2009 in accordance with the payment procedures described in the Prospectus. The new shares may not be transferred or traded before they are fully paid, the capital increase pertaining to the new shares has been registered with the Norwegian Register of Business Enterprises and the new shares have been registered in the VPS (expected to take place on or about 27 August 2009). Listing and admission to trading of the new shares on Oslo Børs is expected to take place on or about 27 August 2009 and delivery of new shares to each subscriber’s VPS account is expected to take place on or about 28 August 2009. Through the Rights Offering, Codfarmers will receive proceeds of NOK 312,188 before deduction of transactions costs. As a consequence of the Rights Offering the Company’s share capital will be increased with NOK 7,804.70 by issue of 78,047 new shares. Following the registration of the capital increase in the Norwegian Register of Business Enterprises, the Company’s share capital will be NOK 4,268,236.30, divided on 42,682,363 shares, each with a par value of NOK 0.10.
