Collector Bank announces positive outcome of consent solicitation

Collector Bank AB (Collector Bank”) announced on 19 May 2022 a consent solicitation and convened a noteholders’ meeting to vote on the proposal to amend the terms and conditions for certain outstanding notes under Collector Bank’s MTN programme. The proposed amendments have today been approved at the noteholders’ meeting and will therefore be implemented in the terms and conditions of the notes.

The consent solicitation has now been concluded. A majority of the holders of each respective tranche of notes approved the proposed amendments. The amendments relate to Collector Bank’s outstanding notes with ISIN SE0013104577, SE0013360427 and SE0015811112 and NO0011152449 (the "Notes") and is made by reason of the intra-group merger between Collector AB (publ) and Collector Bank. Payment of the consent fee will be made by Collector Bank to eligible noteholders in accordance with the notice of noteholders’ meeting. The expected payment date for the consent fee is around 30 June 2022.

The amendments to the terms and conditions of the Notes include adding a definition and amending certain provisions regarding ownership changes in clause 10 of the terms and conditions. The amended terms and conditions of the Notes will be available on the company’s website, www.collector.se/en/. Nordea Bank Abp has acted as tabulation agent and solicitation agent in connection with the noteholders’ meeting.

The consent solicitation was one of the conditions for completion of the merger between Collector AB (publ) and Collector Bank. According to the merger plan, which was approved by the general meetings of both companies on 4 May 2022, necessary permits and approvals by the Swedish Financial Supervisory Authority and final approval from Nasdaq are still required to complete the merger. The merger is expected to be completed during the third quarter of 2022.
