Comintelli AB: Nomination Committee's proposal for board members ahead of the Annual General Meeting on May 24, 2023 in Comintelli AB (publ.)

The Nomination Committee, representing 38.6% of the votes and shares at the time of the September 30, 2022 record date, proposes that the board consist of five (5) ordinary members. This is a change from the current board consisting of four (4) ordinary members and one (1) deputy member. The following five (5) board members are proposed:

  • Per Hjortblad (re-election)
  • Sofia Fogelfors (re-election)
  • Tomas Huuva (re-election)
  • Roine Gabrielsson (re-election)
  • Markko Vaarnas (new election)

The Nomination Committee proposes that the current Chairman of the Board, Per Hjortblad, be re-elected and that Markko Vaarnas be elected as Vice Chairman of the Board. As the deputy member will no longer be elected, the current deputy member Jesper Ejdling Martell (CEO of Comintelli AB) is not re-elected.

The Nomination Committee's full proposal will be made available on the company's website when the notice of the Annual General Meeting is published.

Comintelli continues its growth journey with a focused customer strategy in prioritized markets and industries. The business is gradually being transformed into a scalable SaaS business model. In January 2023, it was announced that Comintelli is acquiring the assets of its American competitor Cipher for the Knowledge360® SaaS platform, which enables a significant increase in annually recurring revenues (ARR).

To further increase the conditions for realizing the company's growth journey, the Nomination Committee proposes the new election of Markko Vaarnas. Markko Vaarnas has extensive experience in growth and internationalization in B2B SaaS companies. He was the co-founder and CEO of the Global Intelligence Alliance Group (GIA) between 1995 and 2014 before it was sold to Finnish M-Brain. Today, he is an independent consultant and Chairman of the Board for SaaS & IT companies Futures Platform Oy and Avoset Oy, and a board member of Qvik Oy.
