Componenta to make exchange offer for preferred capital notes The Board of Directors of Componenta Corporation has decided to offer holders of the preferred capital notes issued in 1997 by its subsidiary Componenta Finance Corporation, the opportunity to exchange their notes for preferred capital notes issued by Componenta Corporation. The notes will also be offered to some other institutional investors. The maximum amount of the principal is EUR 32,000,000. The loan period will be 15 February 2002 - 19 March 2009. Annual interest will be paid on the loan, at a rate 4% above the 12-month Euribor interest rate. The company will repay 10% of the principal annually. The first repayment will be on 19 March 2002. In addition, the company has the right to pay off the loan in its entirety or in part on the annual interest payment date, subject to the conditions being met for repaying preferred capital notes as stated in the Finnish Companies Act. Any outstanding principal will be paid back on 19 March 2009. The subscription period will be 4 February 2002 - 15 February 2002. The Board of Directors of Componenta Corporation will make the final decision on issuing the preferred capital notes on 15 February 2002 at the latest.
