Conversion of note units into shares with Componenta convertible capital notes

Componenta Corporation has issued convertible capital notes on 15 March 2005
and on 4 December 2006. Notes are listed in the Helsinki Stock Exchange. 

Note unit holder is entitled to convert its note units into Componenta
Corporation shares with pre-specified terms. Basic conversion terms are as
follows:

Note unit holder can convert its note units into Componenta Corporation shares
yearly from 2 January to 30 November. Conversion period ends on 1 March 2010.
Conversion price is EUR 10.00 i.e. each note unit in the amount of EUR 2,000
can be converted into 200 shares. Through a conversion the share capital of
Componenta Corporation can increase by a maximum of EUR 3,800,000 and the
number of shares by a maximum of 1,900,000 new shares.

Note unit holder can convert its note units into Componenta Corporation shares
yearly from 2 January to 30 November. Conversion period ends on 15 November
2011. Conversion price is EUR 9.00 i.e. each note unit in the amount of EUR
1,800 can be converted into 200 shares. Through a conversion the share capital
of Componenta Corporation can increase by a maximum of EUR 4,376,800 and the
number or shares by a maximum of 2,188,400 new shares.

Actions in conversion
When the note unit holder wants convert note units into Componenta shares,
he/she has to fill in and sign a registration application attached below and
send it: Componenta Corporation/treasury, Panuntie 4, FI-00610 Helsinki. Please
note that Componenta fills in end of the application "Registration application
to the account operator". 

When Componenta has received the original registration application, increase in
the share capital and amount of shares is recognised by the Componenta Board of
Directors. Then the increase will be registered to the Trade Register.
Componenta notifies the account operator about the conversion, which in turn
will book the new shares into note unit holder's book-entry account. The
process takes approximately 1 - 2 months after which one may trade with the
converted shares in the Helsinki Stock Exchange.
