Merger of Componenta Finance Corporation with Componenta
Corporation

On 15 May 2003, the Board of Directors of Componenta Corporation
and the Board of Componenta Finance Corporation, which is wholly
owned by Componenta Corporation, have by common consent approved
the plan to merge Componenta Finance Corporation with Componenta
Corporation.

According to the plan, Componenta Finance Corporation, with its
assets and liabilities, will be merged with the parent company
without merger consideration. The reason for the merger is to
simplify the group structure.

The planned date for completing the merger is 31 December 2003.
