Notification for shareholders of merger of subsidiary

Componenta Corporation and its fully owned subsidiary Componenta
Finance Corporation have signed a merger plan on 15 May 2003.
The merger plan has been registered in the Finnish Trade
Register on 22 May 2003 and announced in the Trade Register
Newspaper on 27 May 2003.

According to the terms of the merger plan, Componenta Finance
Corporation, including its assets and liabilities, will be
merged with its parent company. Since the parent company owns
all the shares of the company being merged, no consideration
will be given in the merger. The reason for the merger is to
simplify the group structure. No changes will take place in
Componenta Corporation's Articles of Association. The company
being merged has preferred capital notes that are held in their
entirety by the parent company Componenta Corporation. The
planned date for registering the completion of the merger is 31
December 2003.

The merger plan, its appendices and the documents referred to in
Sections 6 and 7 of Chapter 14 of the Finnish Companies Act will
be available for viewing by shareholders as from 28 May 2003 at
the company's head office at Nuijamiestentie 3 C, 00400
Helsinki. Copies of the documents will be sent to shareholders
upon request.

If Componenta Corporation shareholders who hold at least five
(5) per cent of the shares of Componenta Corporation demand in
writing within a month of the publication of this notification,
ie, no later than 30 June 2003, that the merger plan be
considered at a Shareholders' Meeting, then Componenta
Corporation shall call a Shareholders' Meeting to consider the
merger. A written demand to hold an Extraordinary Shareholders'
Meeting shall be sent to Componenta Corporation, Nuijamiestentie
3 C, 00400 Helsinki.
