CS MEDICA A/S: Minutes of the Annual General Meeting
On March 31, 2026, in Copenhagen, CS MEDICA A/S (“CS MEDICA” or the “Company”) held its Annual General Meeting (“AGM”), at which the following principal matters were addressed and resolved.
1. Election of chairman of the meeting
The Board of Directors proposed Gitte Lund Henriksen as chairman of the meeting, which was accepted by the attendees.
The chairman confirmed that the AGM had been duly convened in accordance with the Company’s Articles of Association.
The AGM was attended by Gitte Lund Henriksen and Lone Henriksen.
2. Presentation of the annual report
The Annual Report for the financial year 1 October 2024 – 30 September 2025 was not subject to approval at the AGM, as it remains under preparation and audit by the Company’s auditor.
Accordingly, the approval will take place at an Extraordinary General Meeting (“EGM”) to be convened once the audit process has been finalized.
3. Resolution concerning the appropriation of profits or losses
As the Annual Report was not adopted, this item was not resolved and will be addressed at the forthcoming EGM.
4. Election of members to the board of directors
The AGM resolved, in accordance with the Board of Directors’ proposal, to elect Jens Hagelskjær as a new member of the Board of Directors.
5. Election of auditor
The AGM resolved, in accordance with the Board of Directors’ proposal, to re-elect Christensen Kjærulff Statsautoriseret Revisionsaktieselskab as the Company’s auditor.
6. Any other business
The chairman confirmed that no further matters were raised.
