Extraordinary General Meeting of Custos regarding redemption in return for payment in SCA shares AB Custos has previously announced that the Board of Directors intends to th make a proposal to shareholders in AB Custos that every fourth (4 ) share in Custos be redeemed in return for payment comprising two (2) shares in SCA. For this reason, Custos will hold an Extraordinary General Meeting on December 5, 2000, to pass a resolution to offer the shareholders redemption rights. The redemption rights will be quoted on the OM Stockholm Exchange. The proposed redemption sum corresponds, as of October 31, 2000, to SEK 410 per redeemed Custos share, which can be compared with Custos net asset value and share price at the same time, which are SEK 1 289 and SEK 265 per share, respectively. Notice of Extraordinary General Meeting will be published shortly. 1 Assuming that synthetic share buy-backs have been redeemed. Handelsbanken currently has 3,129,523 shares in Custos, due to Custos' synthetic repurchase program and has made an undertaking not to use the redemption rights it receives for these shares. If the offer to redeem the shares in Custos is accepted by all the other shareholders, the total number of redeemed shares will be 6,157,320 Custos shares and the number of distributed shares will amount to 12,314,640 SCA shares, corresponding to a market value of MSEK 2,525 on October 31, 2000. Following the redemption program and the repayment of 2,261,102 SCA shares under a share loan agreement, Custos will own 1,268,949 SCA shares, of which 799,240 shares are attributable to commitments under the warrants issued to senior executives in SCA.
