Nordic Capital Fund V and CVC Capital Partners to Evaluate a placing of 10.4% of Their COMBINED shareholding in Cloetta AB

Nordic Capital Fund V (“Nordic Capital”) and funds advised by CVC Capital Partners (“CVC”) have through their holding companies Cidron Pord S.A.R.L (“Cidron”) and Godis Holding S.A.R.L, (“Godis) asked Carnegie and Handelsbanken Capital Markets to evaluate a placing of up to 30,000,000 B shares representing 10.4% of the outstanding share capital of Cloetta AB.
In the event of a transaction, the shares will be placed and the price determined by means of an accelerated book-built offering to a limited number of Nordic and international institutional investors. Main owner Malfors Promotor AB intends to order 1,000,000 shares and Chairman Lennart Bylock 50,000 shares in the event of a transaction. Currently Cidron owns 61,132,079 shares representing 21.2% of the share capital. Godis owns 48,313,999 shares representing 16.7 % of the share capital. If the placing is completed they will own collectively 79,446,078 shares (27.5% of the share capital).
