CXENSE - Exercise of share options and Subscription Rights

The Board of Directors of Cxense ASA ("CXENSE") has resolved to issue 11,125 shares to employees and former employees that have exercised share options and subscription Rights (SRs), whereof 10,500 shares are issued and resolved in accordance with the Company's 2012 share option plan and 625 shares are issued and resolved in accordance with the 2015 Subscription Rights plan. The average exercise price of the 11,125 share options and SRs is NOK 98.96.

The total subscription price for the 11,125 shares is NOK 1,100,875, of which NOK 55,625 is added to the Company's share capital while NOK 1,045,250 is added to the Company's funds in accordance with the provisions of the Public Limited Companies Act. Following this transaction, the Company's share capital will be NOK 39,790,060 and there will be 7,958,012 shares and 349,200 subscription rights and share options outstanding.

Payment for the new shares was made on 1 December 2016. The new shares may not be transferred or traded before the share capital increase pertaining to the options and Subscription Rights has been registered with the Norwegian Register of Business Enterprises.
