Cxense ASA – Allocation to primary insiders in the rights issue

With reference to the final result of the Rights Issue in Cxense ASA (the "Company") which was announced earlier today, the following primary insiders, including their close associates, have been allocated offer shares at a subscription price of NOK 7 in accordance with allocation principles set out in the prospectus dated 11 February 2019:

Tankeverket AS, a company owned by Christian Printzell Halvorsen, Chief Executive Officer, and family has been allocated 71,428 offer shares, of which 38,899 offer shares are allocated based on exercised subscription rights. Following issuance of the new shares in the Rights Issue, Tankeverket AS will own 98,928 shares in the Company. Christian Printzell Halvorsen also owns 140,000 share options and subscription rights in the Company.

Kanoka Invest AS, a company 100% owned by Jørgen Evjen, Chief Financial Officer, has been allocated 71,428 offer shares. The shares are not allocated based on subscription rights. Following issuance of the new shares in the Rights Issue, Kanoka Invest AS will own 71,428 shares in the Company.

Birger Søiland, General Manager North America, has been allocated 7,142 offer shares in the Rights Issue. The shares are not allocated based on subscription rights. Following issuance of the new shares in the Rights Issue, Birger Søiland will own 7,142 shares and 15,000 share options in the Company.

Fredrik Falck, VP Finance, has been allocated 6,648 offer shares in the Rights Issue based on exercised subscription rights granted. Following issuance of the new shares in the Rights Issue, Fredrik Falck will own 11,348 shares and 10,000 share options in the Company.

Ben Graham, Chief Product Officer, has been allocated 14,285 offer shares in the Rights Issue. The shares are not allocated based on subscription rights. Following issuance of the new shares in the Rights Issue, Ben Graham will own 14,285 shares and 50,000 share options in the Company.

Elisabeth Monrad-Hansen, VP Human Resources, has been allocated 14,285 offer shares in the Rights Issue. The shares are not allocated based on subscription rights. Following issuance of the new shares in the Rights Issue, Elisabeth Monrad-Hansen will own 14,285 shares and 20,000 share options in the Company.

David Gosen, Chief Commercial Officer, has been allocated 39,285 offer shares in the Rights Issue. The shares are not allocated based on subscription rights. Following issuance of the new shares in the Rights Issue, David Gosen will own 39,285 shares and 100,000 share options in the Company.

Ryoichi Egawa, SVP Business Development and General Manager Japan, has been allocated 77,304 offer shares in the Rights Issue, of which allocation of 27,304 offer shares is based on exercised subscription rights. Following issuance of the new shares in the Rights Issue, Ryoichi Egawa will own 96,607 shares and 41,000 share options in the Company.

Lars Bjørn Thoresen, chairman of the board, has been allocated 37,027 offer shares in the Rights Issue based on exercised subscription rights. LT Invest AS, a company controlled by Lars Bjørn Thoresen, has been allocated 391,544 offer shares, of which allocation of 17,681 offer shares is based on exercised subscription rights. Following issuance of the new shares in the Rights Issue, Lars Bjørn Thoresen will, directly and indirectly through companies controlled by him, own 467,248 shares in the Company. Lars Bjørn Thoresen also holds 40,000 share options in the Company.

Liza Benson, board member in the Company, has been allocated 6,154 offer shares in the Rights Issue. The allocation is not based on subscription rights. Following issuance of the new shares in the Rights Issue, Liza Benson will own 6,154 shares in the Company.

Imsight AS, a company controlled by Ingeborg Hegstad, board member in the Company, has been allocated 7,142 offer shares in the Rights Issue pursuant to exercised subscription rights. Following issuance of the new shares in the Rights Issue, Imsight AS will own 14,292 shares in the Company.

Azeem Azhar, board member in the Company, has been allocated 7,142 offer shares in the Rights Issue. The subscription is not based on subscription rights. Following issuance of the new shares in the Rights Issue, Azeem Azhar will own 7,142 shares in the Company.

Martin Moran, board member in the Company, has been allocated 71,428 offer shares in the Rights Issue. The allocation is not based on subscription rights. Following issuance of the new shares in the Rights Issue, Martin Moran will own 71,428 shares in the Company.
