Cxense ASA - Announcement of board resolution on cross-border merger between Piano Software B.V. and Cxense ASA
Following the squeeze-out by Piano Software B.V. ("Piano") of the minority shareholders in Cxense ASA ("Cxense") announced earlier today, Cxense hereby announces that its board of directors today has approved a joint merger plan for a cross border merger between Cxense as the transferring company and Piano as the acquiring company.
The proposal implies that Piano, upon expiry of the credit notice periods and after the merger having entered into effect pursuant to both Dutch and Norwegian law, shall take over the assets, rights and obligations from Cxense in their entirety in accordance with section 13-36 of the Norwegian Public Limited Liability Companies Act , cf. section 13-25 et sec, regarding cross-border mergers between a foreign parent company and a wholly owned Norwegian subsidiary without consideration. Cxense will, thereafter, be dissolved.
The merger plan will be published in the Norwegian Register of Business Enterprises' announcements platform in accordance with section 13-13, cf. section 13-25.
